Terms of Service

These Terms of Service ("Terms") govern your use of Arteesa websites, mobile applications, and related services. By using Arteesa, you agree to these Terms.

Definitions

For the purposes of these Terms of Service, the following terms shall have the meanings set out below:

  • "Account" means a registered user profile that enables a User to access and use the Services.
  • "Artisan" means an independent service provider registered on the Platform to offer services to Clients.
  • "Booking" means a request made by a Client for the provision of services by an Artisan through the Platform.
  • "Client" or "Customer" means any individual or entity that uses the Platform to request, book, or purchase services from an Artisan.
  • "Content" means any text, images, videos, messages, reviews, ratings, documents, or other materials uploaded, submitted, shared, or otherwise made available through the Platform.
  • "Dispute" means any claim, disagreement, controversy, or complaint arising out of or relating to the use of the Platform or the Services.
  • "Platform" means the Arteesa website, mobile application, and all related software, features, products, and services operated by Arteesa.
  • "Services" means all services, features, functionalities, products, and tools made available through the Platform.
  • "Terms" means these Terms of Service, together with any policies, guidelines, or agreements incorporated by reference.
  • "User" means any individual or entity that accesses, browses, registers for, or uses the Platform, including Clients, Artisans, and visitors.
  • "Wallet" means the digital payment feature provided through the Platform that enables eligible Users to receive, hold, transfer, or withdraw funds, where available.

1. Service Operator

Arteesa is operated by ARTEESA SERVICES LIMITED, a private company limited by shares incorporated under the laws of the Federal Republic of Nigeria on 10 June 2026 with registration number 9604703, whose registered office is at No. 2, Okumade Street, Mokola, Ibadan, Oyo State, Nigeria ("Arteesa", "we", "us"). Contact: hello@arteesa.app.

Arteesa was previously operated by BST Consulting Nigeria Limited. With effect from 27 July 2026, Arteesa Services Limited assumed operation of the Services and is the contracting party under these Terms.

2. Eligibility and Account

  • You must be at least 18 years old to create or use an Arteesa account.
  • You must provide accurate account information and keep it updated.
  • You are responsible for all activity under your credentials.
  • We may suspend or terminate accounts for fraud, abuse, legal risk, or policy violations.

3. Marketplace Service Model

  • Arteesa is a managed digital marketplace connecting clients and artisans.
  • Arteesa may provide verification, request matching, artisan interest/selection workflows, payment facilitation, status tracking, trust/safety controls, and dispute workflows.
  • Artisans are independent service providers. Unless explicitly stated, Arteesa is not the direct employer, agent, or representative of artisans.
  • Arteesa is not a party to the service contract between a client and artisan and does not guarantee the quality, legality, safety, or outcome of any service.

4. Bookings, Payments, and Wallets

  • Booking requests, matching, artisan interest, client selection, acceptance, and status transitions are governed by platform rules.
  • Service requests may move through statuses such as submitted, matching, matched, confirmed, accepted, on the way, arrived, in progress, completed, cancelled, and disputed.
  • After a match or selection, an artisan may need to accept within the platform window. If the artisan does not accept, rejects, or later declines where allowed, the request may be reopened for matching.
  • Clients may be asked to confirm booking details and separately confirm completion after an artisan marks work complete.
  • Certain transactions may use hold/escrow-style controls until service milestones are completed, completion is confirmed, or a dispute is resolved.
  • Platform fees and transaction charges may apply and will be shown before payment confirmation.
  • Payout timing may depend on verification, fraud screening, chargebacks, disputes, and partner constraints.
  • Refunds, cancellations, chargebacks, and disputes are governed by the Refund/Cancellation/Dispute Policy.

5. Client Obligations

  • Provide accurate booking details, access instructions, and lawful service requests.
  • Do not post abusive, fraudulent, discriminatory, or illegal content.
  • Provide reasonable access for the artisan to perform the agreed service.
  • Pay agreed charges through approved channels only and do not pressure artisans into off-platform payment.
  • Review completed work promptly and use the dispute process within the stated timeframe if there is a material issue.

Where an artisan attends your home or property, you are also expected to:

  • Provide access to the property at the agreed time.
  • Ensure a safe working environment, such as keeping children and pets away from the work area and informing the artisan of any known hazards.
  • Clearly explain the work required and any special instructions before work begins.
  • Protect or remove valuable and fragile items from the work area where possible.
  • Provide agreed facilities, such as access to electricity or water, if required for the job.
  • Pay the agreed amount according to the contract or invoice once the work is completed, or as otherwise agreed.
  • Inspect the completed work and promptly report any defects or concerns.
  • Treat the artisan with respect and avoid interfering with their work.

6. Artisan Obligations

  • Artisans must comply with these Terms and the Artisan Addendum.
  • Artisans are responsible for licenses, permits, tax obligations, and lawful delivery standards.
  • Artisans must keep acceptance, travel, arrival, work-in-progress, and completion statuses accurate.
  • Artisans must provide truthful completion evidence where requested and cooperate with customer confirmation and dispute review.
  • Misrepresentation, off-platform payment coercion, and identity or credential fraud are prohibited.

When working at a client's home or property, artisans are also expected to:

  • Perform the work professionally and with reasonable skill and care.
  • Complete the work as agreed, following the contract, specifications, and timeline where possible.
  • Use appropriate tools, materials, and equipment that are safe and fit for the job.
  • Maintain a safe work environment and follow all health and safety rules.
  • Avoid causing damage to the client's property. If damage occurs due to negligence, the artisan may be responsible for repairing or compensating for it.
  • Respect the client's property and privacy, including keeping information about the client confidential.
  • Keep the work area clean and dispose of waste properly after completing the job.
  • Inform the client about any unexpected issues, additional costs, or delays before proceeding.
  • Comply with applicable laws and regulations, including licensing requirements where applicable.
  • Honour any warranty or guarantee provided for the workmanship or materials used.

7. Prohibited Conduct

  • Fraud, impersonation, account takeover, payment abuse, or circumvention of platform controls.
  • Harassment, hate speech, threats, sexually exploitative content, or non-consensual sharing.
  • Publishing malware, scraping protected data, or reverse engineering without authorization.

8. User Content and Moderation

  • You retain rights to your lawful content but grant Arteesa a non-exclusive license to host/process it for service operation.
  • User content includes profiles, service request descriptions, photos, completion media, messages, reviews, ratings, reports, and dispute evidence.
  • Arteesa may review, preserve, restrict, or remove content that violates policy, law, or safety standards.

9. Privacy and Data

Processing of personal data is described in the Privacy Policy, including artisan verification data, location data, service media, notification data, deletion pathways, and rights requests.

10. Third-Party Services

Arteesa may use third-party processors (payments, hosting, communications, analytics). Their outages or policy changes may impact service behavior.

11. Intellectual Property

  • Arteesa trademarks, software, and platform materials are protected intellectual property.
  • You may not copy, distribute, or commercially exploit platform content except as expressly permitted.

12. Suspension and Termination

  • You may stop using Arteesa at any time and request account deletion per the deletion policy.
  • We may suspend or terminate accounts for policy breaches, legal orders, safety incidents, or inactivity.

13. Disclaimers

Services are provided on an "as available" basis. To the maximum extent permitted by law, Arteesa disclaims implied warranties, including merchantability, fitness for a particular purpose, non-infringement, and warranties about artisan service quality, legality, safety, timing, or outcome.

14. Limitation of Liability

To the extent permitted by law, Arteesa is not liable for indirect, incidental, consequential, exemplary, special, or punitive damages, including lost profits, data loss, or reputational harm.

15. Indemnity

You agree to indemnify and hold harmless Arteesa and its affiliates from claims arising from your misuse of the Services, policy violations, unlawful conduct, or breach of these Terms.

16. Dispute Resolution, Arbitration, and Governing Law

  • These Terms are governed by the laws of the Federal Republic of Nigeria, unless mandatory local consumer law requires otherwise.
  • Parties will first attempt good-faith resolution through support and formal notice.

If any dispute, claim, or controversy arises out of or in connection with these Terms or the use of Arteesa's Services, the parties agree to first attempt to resolve the dispute amicably through any recognised Alternative Dispute Resolution (ADR) mechanism, including negotiation, mediation, conciliation, or arbitration.

The parties shall make reasonable efforts to resolve the dispute through ADR before commencing court proceedings. However, if the dispute cannot be resolved through any of these ADR methods within a reasonable time, either party may refer the matter to a court of competent jurisdiction.

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, and any legal proceedings shall be brought before the courts of competent jurisdiction in Nigeria, subject to mandatory legal rights in your jurisdiction.

Exceptions

Nothing in this clause prevents Arteesa from seeking immediate injunctive, equitable, or conservatory relief from any court of competent jurisdiction where necessary to:

  • protect intellectual property rights;
  • prevent fraud or unlawful conduct;
  • preserve confidential information;
  • prevent unauthorized access to the Services;
  • protect the safety, security, or integrity of the Platform or its users.

17. Updates to Terms

We may update these Terms. Material changes will be communicated through app/web notices with a revised effective date. Continued use after updates means you accept the revised Terms.
